Preliminary plans of this meeting, together with a most interesting series of papers that have been received or promised, were published in the May Bulletin. The plans are being carried out enthusiastically and hospitably by the Colorado members and all indications point to an interesting and valuable meeting.

1. Any society of undergraduates at a technical school, comprising students in any branch of engineering, metallurgy, chemistry, geology, etc., may be recognized by the Board of Directors in its discretion as an Affiliated Student Society, and its name, together with the names of its President and its Secretary, may be published in the Bulletin or the Year Book of the Institute. The individual members of such a society will not be catalogued as individual members or associates of the Institute, but may at any time be proposed for election as members or associates of the Institute, in the usual way. 2. Membership in an Affiliated Student Society, certified by the official representative thereof, and accompanied with suitable testimony as to character and qualifications, will have special ,weight with the Membership Committee of the Institute, in its consideration of the proposal of a candidate for membership or for Junior membership.

Bailey, Lewis Newton, Master Engineer, Senior Grade, 4th Regiment, U. S. Engineers, Headquarters Company, died of pneumonia at Camp Merritt, N. J., on Apr. 30, 1918. Baird, Louis, Lieut., Royal Field Artillery, British Army, died on the battlefield in 1915. Ballamy, John H., Capt., 103d Engineers, killed in action near Fismes, Aug. 9, 1918. Bowles, Martin F., 2d Lieut., Co. B, 355th Infantry, killed in action, Sept. 3, 1918. Burt, Andrew, died in active service, 1916. Cobeldick, William Morley, Royal Engineers, died from gas poisoning on Oct. 7, 1915. Dougall, Ralph, 4th University Co., Princess Patricia Regiment, killed in action early in the war. Evans, Alfred Winter, Lieut.-Col., New Zealand Rifle Brigade, D. S. 0., D. C. M., killed in action on Oct. 12, 1917.

WE the undersigned, being all persons of full age and citizens of the united States, and a majority residents of the State of New York, desiring to form a corporation pursuant to the provisions of the Membership Corporations Law for the purpose of incorporating, as provided in Section 5 of Article I. of said law, the existing unincorporated association known as American Institute of Mining Engineers, do hereby make, acknowledge and file this Certificate for that purpose, and do Certify as follows: I. That the American Institute of Mining Engineers is an unincorporated association organized and existing with the object of promoting the arts and sciences connected with the economic production of the useful minerab and metals and the welfare of those employed in these industries by means of meetings for social intercourse and the reading and discussion of professional papers, and to circulate by means of publications among its members and associates the information thus obtained. II. That the persons duly appointed or designated to manage the affairs of said association are designated by the rules thereof Members of its Council; that the undersigned are all members of said Council as the same was constituted on the 20th day of December, 1904. III. That on said last-mentioned date a regularly called meeting of said association was held at its office in the Borough of Manhattan, City of New Pork; that thirty days before such meeting notice of the intention to incorporate said association was given by mail to each member thereof whose residence or post-office address is known; that at said meeting the following resolutions were offered, seconded and duly adopted by the unanimous vote of all its members then present, to wit: "Resolved, That it is the sense of the members and associates of the American Institute of Mining Engineers in general meeting assembled that it is desirable and necessary for the well being of said association and its members and for the furtherance of the objects for which the same has been formed, that said association lncorporate under the Membership Corporations Law of the State of New york; "And Further Resolved, That the Members of the Council of this Association, or a majority thereof, be and they hereby are authorized, in accordance with the provisions of Section 5 of Article I. of the Membership Corporations Law, to incorporate this association for the same purposes for which it has been organized and conducted, in the manner provided in Article 11. of said law; "and Further Resolved, That the name of said corporation as hereby adopted by this meeting shall be American Institute of Mining Engineers; "And Further Resolved, That the said incorporators shall be named in the Certificate of Incorporation as directors of such corporation until its first annual meeting, and that such directors and their successors in office shall be and they hereby are authorized to enact and adopt a Constitution and By-Laws for the government of said corporation." IV. That the name of the proposed corporation is American Institute of Mining Engineers. V. That the purposes for which this corporation is to be formed arc: To promote the arts and sciences connected with the economic production of the useful minerals and metals, and the welfare of those employed in these industries by all lawful means; to hold meetings for social intercourse and the reading and discussion of professional papers, and to circulate by means of publications among its members the information thus obtained, and to establish and maintain a place for meeting of its members, and

Meeting of Mar. 27, 1914.-President Thayer announced the appointment of H. S. Munroe as a member and E. Gybbon Spilsbury as Chairman of the Library Committee of the Institute. The President announced the appointment of the Committee on Papers and Publications, the Technical Committees, the Committee on Increase of Membership, and the Committee on Junior Members and Affiliated Student Societies. The President announced the appointment of Dr. George F. Kunz as a member of the Reception Committee of the International Engineering Congress, 1915. It was voted that the Institute accept the invitation of the Mining and Scientific Press to occupy space at the Panama-Pacific Exposition next to them and avail itself of the service of their representative to receive and register members of the Institute who visit this space during the exposition.

A tentative plan for the Colorado Meeting has been formulated as follows: One day will be spent at Denver, one day at Colorado Springs, one day at Cripple Creek, a trip by automobile to the top of Pike's Peak, one day at Pueblo, one day at Leadville. All the principal mines and mills of the districts mentioned will be visited, including the gold mines in Cripple Creek, the lead, zinc, and steel works. of Pueblo, the production of ferro-molybdenum by electric furnace at Leadville, etc. Special arrangements are being made for the social entertainment of ladies at all points; one evening at Colorado Springs will be devoted to a reception and dance, and the usual dinner will he given on another evening. I. PRESIDING OFFICERS. At all Business meetings of the Institute the President, or, in his absence, the Vice-President, or, in the absence of both of them, any other member of the Board of Directors to be chosen by the meeting, shall preside. At all other meetings of the Institute the President of the Council or, in his absence, one of the Vice-Presidents, if present, shall preside II. ORDER OF BUSINESS. At each Business meeting of the Institute the order of business shall be as follows 1. Reading of minutes of preceding meeting. 2 Report of the President. 3. Report of the Treasurer. 4. Report of the Secretary. 5. Election of Directors. 6. Election of Members of the Council. 7. Reports of Standing Committees. 8. Reports of Special Committees. 9. Special Orders 10. Miscellaneous business. This order of business may be changed by a vote of a majority of the Members and Associates present in person or by proxy. The usual parliamentary rules shall govern all meetings of the Institute except in cases otherwise provided by the Constitution or the By-Laws. At all sessions of the Institute other than business meetings, the order of proceedings and the time of adjournment, shall rest in the discretion of the presiding officer
