By an extension of drilling activities in 1938, the Polish oil industry succeeded not only in maintaining production but even in increasing it slightly. This increase, however, was from present oil reserves and not due to the discovery of any new fields. Most of the new wells were drilled in the Jaslo district, particularly in the Lipinki-Libuszal oil field, because of the shallow depth of the producing sands. At the Boryslaw field the 12,332 meters drilled could not compensate for the steady drop in production. A drilling campaign similar to that of the previous year in the Stanislawow district resulted in a slight decline of production. A number of the new wells have been subsidized by the Fund for the Advancement of Drilling2 in Poland. As the present sums at the disposal of this fund are insufficient for a great exploration program, they are chiefly used for the maintenance of the actual production. New wells on known folds, but more than 1000 m. outside the present productive areas, are entitled to a subsidy. Applications for wildcats outside the known productive areas have not been received in 1938. Even when the Polish oil industry was prosperous, wildcatting was not frequent and in their present impoverished condition the oil companies are no longer able to bear such financial burdens. The only way to start a large-scale drilling campaign on the still existing promising areas seems to depend on the granting of new substantial subsidies from the Treasury. Such measures are being considered by the Polish Government. It has been suggested that a fund for wildcatting might be raised by a small increase in the price of benzine. An advance of one grosz per liter of benzine would raise, on present home consumption of 108,000 kilogram-tons, about 1.3 million zloty, an advance of 5 grosze more than 6 million zloty.3 This small increase in price would hardly be felt by the motor-car owners, as it would mean an extra expense of 80 to 400 zloty in a year.

INTRODUCTION In the second quarter of 1979, Rapid Mining Co., Inc. ("Rapid") inquired whether Crocker National Bank ("CNB") would provide $4 million in term loan financing to help ("Dry Creek") acquire the outstanding shares of the Dry Creek Coal Company ("Dry Creek") in West Virginia. Prior to approaching CNB, Rapid had sought financing with the assistance of a financial advisor from a number of commercial banks without success. A summary of the initial terms requested by Rapid is shown in Table 1 compared with the actual terms on which the transaction closed. It is not difficult to note that the two sets of terms differ significantly. This is often the case when financing requests based on the expectations and vision of a mine developer are juxtaposed with more pragmatic requirements of a commercial bank. The "art" and fund of structuring financing plans for mining ventures (highly leveraged acquisitions or grass roots) comes in working with mine developers to arrive at a final financial structure that meets their objectives and constraints as well as those of the bank or other financial institutions providing much of the financing. Beginning with the terms requested by Rapid and ending with the terms that closed the transaction, this article briefly describes the process we went through with Rapid Mining. The Seller and Buyer The Dry Creek Coal Company was established in 1961, after its owner acquired the coal leases from Republic Steel. Republic has mined the primary coal seam from 1948-1961. Dry Creek was owned as a subchapter S corporation (i.e., for federal income tax purposes, income is taxed at the shareholder level) and had been run on a low key basis. Since the company had virtually no debt and limited cash needs, the owner produced primarily when rail cars were available and income was required. Output was therefore erratic as is shown in the top of Table II, but the result was a profitable little company with an attractive free cash position. Because the owner wished to retire and enjoy his wealth in a more readily spendable form, he had put the mine, with stated recoverable reserves of approximately 13 million tons, up for sale. In contrast, Rapid Coal's investors consisted of a number of investors of disparate financial situations. They had agreed upon a primary objective of income maximization and planned an annual production rate of 120,000 TPA which they and the current owner believed realizable. The Formulation of a Financing Structure Figure 1 presents a simplified overview of the sequence of steps taken in the financing process which lasted approximately three months from start to finish. Since banks see many requests for funding and considerble time is required to follow up on each, an important step was determining, after a brief review of the materials provided to us, whether the basic "eonomic entity" was viable. In this case, the size and quality of the reserves, the inherent operating cost characteristics, the sales arrangements, the management/labor situation and Rapid's principles all appeared to be sound enough to warrant investing the time necessary to do a thorough analysis of the project. Once this decision was made, the evaluation and analytic process shown in Figure 2 was initiated. The first and most fundamental concern of any banker is whether the loan will be paid back as scheduled from the cash flow generated by the project. The amount of debt relative to the owner's equity is of course crucial in such a determination. Before the debt/equity issue was addressed, however, a number of more qualitative factors had to be studied and if

Riparian communities are those related to, or near a natural watercourse (or sometimes of a lake, impoundment, or tidewater). Generally, riparian communities contrast sharply with the dominant vegetation type in an area, for example, the willow-birch-aspen- dominated watercourse in the Black Hills with its associated beaver- muskrat-trout habitat as compared to the dominant monotype ponderosa pine forest on either side of the drainage. Riparian ecosystems are valuable for the aesthetics, namely, varied landscape; photography and art; human awareness; diversity of plant and animal life, some of which may be unique to that habitat; cover, food, and water for associated wildlife and domestic animals; for recreation; for domestic water supply; and as natural outdoor laboratories. One major negative impact on riparian communities is hazardous chemicals from effluents from agricultural, industrial, and mining- metallurgical processes. One such chemical is cyanide, long used in the processing of gold and silver, and discharged previously directly into some of our natural ecosystems. With present environmental awareness, industry and government are attempting to minimize or eliminate this contamination. Homestake Mining Company began processing gold ore in the Lead- Deadwood area of South Dakota in 1878 and has remained in production at variable activity levels to the present time. The amount of cyanide (and heavy metals) entering the ecosystem during this time can only be crudely estimated, in part because of the variability in activity and the lack of understanding and concern about environmental pollution until the 1960's. In 1944, Illinois produced 77,413,000 bbl. of oil, or 4.6 per cent of the total for the United States, and continued to rank sixth in the nation in oil production. This represents a decrease of 6 per cent from 1943, when- the total Illinois production was 82,256,000 bbl. This decrease was much less than the 23 per cent decrease in 1943 from production of the previous year. The principal factor in arresting the production declinc, which had been going on since 1941, seems to be the increased drilling that followed the relaxing of the Federal Government's rules in regard to well spacing. The daily average production for 1944 was approximately 212,000 bbl. Of the 1991 wells, 430 are classified as "wildcat" as compared with 461 in 1943. Twenty-eight new pools (Table 2 A) were discovered in 1944 as compared with 29 in 1943. Changes in federal drilling regulations, permitting closer spacing of wells, resulted in a drilling program that emphasized development of proved acreage rather than wildcatting. Data on production and drilling by fields are given in Table I; data on annual production and drilling for Illinois, in Table 3. Discoveries Twenty-eight new fields (Table 2 A), 42 extensions (Table 2 B), and 39 additional producing zones in existing fields (Table 2 C) were discovered in 16 counties in Illinois during 1944. Of the 28 new fields, one was abandoned during the year, 14 were one-well fields, eight others had not more than 6 wells, one had 8, one had 9, one had 11, one had 15, and the largest new field, Roaches North, had 28 producing wells at the end of the year. In all, 109 wells were producing in these new fields on Jan. 2, 1945, as compared with 111 wells producing from 29 new fields at the end of 1943. . The average initial production of the discovery wells of the 28 new fields was 129 bbl. of oil and II bbl. of water, a notable decline from the average initial production of 194 bbl, of oil and 15 bbl. of salt water for the 1943 discovery wells. In fields discovered since 1936, the total number of oil wells producing at the end of 1944 was 12,335. Productive Acreage The area of proved production in the new fields (discovered since 1936) increased from 144,335 acres at the end of 1943 to 173,485 acres at the end of 1944 (Table I), an increase of 29,150 acres. Of this increased area, 1720 acres are in fields discovered during 1944 and 27,430 acres are in extensions of fields discovered earlier.

department, first as a practical miner, next. as rodman on the survey corps, of which he soon became chief, then draftsman and mining engineer in the company's office. In January, 1916, he was promoted to the position of district engineer in charge of mining engineering work. He became a member of this Institute in September, 1917. Captain Ba.llamy's military experience began at the same time as his engineering practice. He was a charter member of Company A, Engineers, N. G. P., which was organized ten years ago. He saw service on the Mexican border as First Lieutenant of this Company, and remained in that position until November, 1916. In July, 1917, he was again called into service and was sent to Camp Hancock, Ga., with the 103d Regiment of Engineers. Before joining this regiment he attended a school for officers at Fort Sill, Okla., where he received special training in field fortifications. In December, 1917, he was commissioned Topographical Captain on the Regimental Staff, and in April, 1918, preceded his regiment by about six weeks to France, where he again attended an officers' training school. He rejoined his regiment on July 15, near Chateau Thierry and was killed near Fismes on Aug. 9, 1918. Lieutenant Martin F. Bowles Martin F. BOWleS, born Apr. 25, 1893, at Bonne Terre, Mo., and graduated from the Neodesha, Kans., High School, had finished all but one month of a four-year course in metallurgical engineering at the Missouri School of Mines, Rolla, Mo., when on May 12, 1917, he entered the first Officers' Training Camp at Fort Riley, Kans. At the close of the training period, he was commissioned a Sccond Lieutenant and assigned to Co. B, 355th Infantry, 89th Division, and stationed at Camp Funston. He left this camp with his company on May 21, 1918, and sailed from an eastern port on June 4, ayriving in England on June 15, 1918. After a short stay at a rest camp there, he proceeded to France. On August 14, he wrote that he was with Battalion Headquarters as Gout Officer, 1st Battalion, 355th Infantry, 89th Division. The last letter received from him, dated September 2, was written in his dugout and contained the following: "Here it is 2.45 a. M. Sitting in a dugout waiting for some patrols to report back in, I am writing this by the light of two candles." He was killed in action on the night of Sept. 3, 1918. The letter of notifi-

Coal production during 1963 amounted to 446 mil- lion tons, an anticipated increase of about 6% over the 1962 production of 422 million tons. Electric consumption was 207 million tons, a continuation of its upward trend with an increase of about 7%. The metallurgical market consumed 77 million tons: the industrial market, 96 million tons; and the retail market, 26 million tons. Exports were 46 million tons. Modernization continues in the coal industry as it approaches the mid-1960's. The industry has shown a keen desire to explore and pursue new developments, new concepts and new managerial methods and techniques that have become so vital and important for industrial well-being.

There was an increased amount of activity in the oil business in Colombia during 1934 over that of the past several years in point of production, development and exploration. The Tropical Oil Co. continued to be the only company operating on what may be called a commercial basis, although the Gulf, through its subsidiary, the Colombian Petroleum Co., was actively engaged in exploratory and developmental work on its Barco property in eastern Colombia. The Socony Vacuum interests acquired an option from Sr. Luciano Restrepo on a concession in Las Monas-Sogamoso River area and carried out geological investigations on these lands during the year. Colombian Petroleum Company The activities of the Gulf in exploration and development in Colombia during 1934 were confined to the Barco concession. The following information is furnished through the kindness of Mr. E. S. Bleecker, Chief Geologist of the South America Gulf Company. Two strings of tools were kept in operation throughout the year on the Petrolca (Tarra) structure. Three wells were completed, including one deep test, all of which were producers from one or more of the three zones which have been defined in the Lower Cretaccous limestone formation. Diffusion coefficients and mobilities were determined as functions of concentration in the a phase of the Cu-Zn system. Use was mode of incremental diffusion couples to determine the Kirkendall effect at various concentrations. Darken's analysis was used to calculate the individual diffusion coefficients and mobilities from these data. The general diffusion coefficient is a single-valued function of the concentration in this system to within the limits of accuracy of the experimental methods used. The form of the various functions (diffusion coefficients and mobilities) of concentration is the same in every case: it is essentially the same as the usual D vs c curve. AS Darken' has pointed out, the knowledge that the movements of different atoms diffusing in the same lattice need not proceed at the same rate is old. Ionic lattices are the classical examples; application of the generalization to lattices with metallic bonding was much more slowly accepted. It remained for Kirkendall'' to show clearly that metallic diffusion need not be symmetrical with respect to both species. Several investigators" have confirmed the initial observation of a "Kirkendall effect:" marker movement accompanying diffusion. They have extended it to other systems and conditions. The theoretical interpretations have been many; ne of the first and simplest of these is that of Darken"' which is essentially mechanism independent. Darken has shown that the Kirkendall experiment permlts a calculation of the individual diffusion coefficients and, coupled with activity data, offers a means of measuring the mobilities of the separateatoms in a binary diffusion process. There is no published information on the effects of concentration and temperature on the individual diffusion coefficients or on the mobility values in binary solid solution; this paper provides such information for zinc and copper in a brass. For purposes of clarity, the overall D value obtained, for example, from the Boltzmann-Matano solution to Fick's law, will be designated as the "general diffusion coefficient;" and the diffusion co- efficients for the separate diffusing species will be designated as the "individual diffusion coefficients." Experimental Procedure The authors have accepted Darken's analysis and have measured mobilities on this basis. The findings of da Silva and Mehl are accepted: that the Matano interface, defined as the origin of coordinates for the Boltzmann-Matano solution to Fick's law, coincides with the original weld interface; that the "shift" of a marker is the distance between the Matano interface and the marker; that the observed porosity is too small sensibly to affect this result; and that the shift is a linear function of the Matano area, the area defined as the absolute magnitude of the area on either side of the Matano interface. Alloys: The a-phase of the Cu-Zn system was chosen for investigation. The measurements were made on incremental couples for two separate reasons: l—it has been questioned whether D, the general diffusion coefficient, is a single-valued function of concentration (a comparison of the D-values for couples with small concentration range, e.g., 10 vs 20 pct Zn, against those from a wide concentration range, e.g., 0 vs 30 pct Zn, will answer that question); and 2—on the Darken analysis, the mobility can be determined only at the concentration at which the marker is observed to lie (this is but one concentration in a single couple) but choosing a series of incremental couples in the range between 0 and 30 pct Zn provides mobility values at several concentrations, thus giving mobility as a function of concentration. Four alloys were chosen; nominally, pure copper, copper with 10 pct Zn, copper with 20 pct Zn, and copper with 30 pct Zn. This allowed six different types of diffusion couples to be prepared, promising mobility determinations at six different concentrations, but having a minimum range of 10 pct Zn. THE increased demand for iron ore has necessitated a re-examination of ore-bearing lands on which the presence of water previously has indicated hazardous and expensive operating conditions. In view of the importance of iron ore production to the national economy and defense, the Ground Water Branch of the U. S. Geological Survey, in cooperation with the state of Michigan, began a study of mine drainage in the Iron River district in 1945, and later extended the work to the Marquette district. The purpose of these studies was to define the principles involved in the movement of surface and ground water toward the mined areas, with the hope that the information obtained in the research would lead to the development of methods of water control and to a reduction in the total mining costs.

Production of oil in Indiana during 1944 is estimated at approximately 4,950,000 bbl., a decline of 6 per cent from the preceding year. Shortage of labor and material, together with governmental regulations resulting from the war, largely account for the drop in output and limited new developments. Three new pools were discovered in the state during 1944. Two of these, New Harmony, South, and Hovey, West, are in Posey County. Six wells in the New Harmony, South, field produced 66,422 bbl. of oil last year. A third field, Cato, in Pike County, did not market the oil from its discovery well during 1944. Several wells discovered oil in the Henderson field of Jay County along the Ohio state line. An important south extension of the St. Thomas field in Knox County was discovered during the year. Active drilling took place in the Inman, East, and Upton fields, Posey County, both discovered in 1943. Twenty-two wells in Inman, East, produced 151,1gr bbl. in 1944 and 12 in Upton produced 107,052 bbl. Owensville, and especially Owensville, North, in Gibson County, made large gains in production as a result of active drilling. The Dodds Bridge field in Sullivan County continued good production from deep sands reached in 1942. The Griffin continued to be the largest producer among the oil pools of Indiana, accounting for 2,004,180 bbl., over 40 per cent of the state's output. The next largest producing fields are Mt. Vernon and New Harmony, both in Posey County. The largest gas well brought in during 1944 was in the Rockport field, Spencer County, and had an initial output of 2,680,000 cu. ft. per day. The most productive gas fields in Indiana are Rockport, Spencer County, Greensburg, Decatur County, and Unionville, Monroe County. Total production in the state is . hard to estimate, as considerable gas is consumcd in farm homes and for other local uses, and never is reported, but was near 1500 million cubic feet. Some oil from the Trenton field is also used locally and is unreported from pipe-line runs. A total of 606,145 ft. of new hole was drilled in Indiana in 1944. Most of the completions were in Posey and Gibson counties, although wells were drilled in 36 different counties. During the year 331 wells were completed. Of these, 145 found oil in commercial quantities and 28 were gas wells. The initial production of the 145 oil wells was 11,908 bbl. per day. Settled production would be less, of course. The largest wells reported during the year were two on the J. W. Mann farm, in the Mt. Vernon field, with a flush flow of 500 to 800 bbl. each.. Six pools, all small "one well" affairs, were abandoned in 1944; i.e., Fleenor and Patoka in Gibson County, Grafton and Rapture in Posey County, Vaughn in Vandei-bwgh County and Millersburgh, Warrick County.

Laboratory tests conducted by the author. together with actual field experience in Canada. have indicated the magnitudc of some of the factors affecting ability of drilling mud to clean the hole. A correlation was observed between funnel viscosity and particle slip velocity. A relationship was also observed between the Bingham yield value of the mud and the particle .slip velocity. Laburatury tests indicated little change in slip velocity with funnel viscosities up to ahout 80 sec/qt or to yield values of aboul 15 lb/100 .sq ft. The lip velocity of the partic1e.s. studied vuried from 160 ft/min with water to neerly zero for high mud viscositie. lncreasing the mud density, creating laminar annular mud flow or rotating the drill pipe Mlay also improve the carrying capacity of mud. Field tests indicated that during fast upper-hole drilling, the rate of cutting removal must he sufficien to maintain the concentration of cuttings in the annulus at less than 5 percent by volume to prevernt balled-up drill collars and .stuck drill pipe. INTRODUCTION In the Mid-Continent area, hole cleaning during rotary drilling normally involves the use of low-density drilling muds with funnel viscosities varying from 26 to 80 sec/qt. However, frequently it is necessary to raise the mud viscosity in excess of 200 sec/qt to clean the hole. In addition, field experience has indicated that during very fast upper-hole drilling, annular mud velocities considerably in excess of the maximum slip velocity of the cuttings (normally considered to be 120 to 150 ft/min) are necessary to prevent balling the bit and drill collars. In view of these variations in mud properties and circulation rates necessary to clean the wellbore, a study of factors affecting hole cleaning and the relative magnitude of each was undertaken. The study was also prompted by the knowledge that a drilling mud with properties close to those of water would drill at rates several times that of a viscous mud. The carrying capacity of these near-water muds was not clearly understood, however, and many drillers were reluctant to use them. DISCUSSION EFFECT OF MUD PROPERTIES ON DRILLING RATE The effect of mud properties on drilling rate has been studied by a number of investigators. 1t is clear from their work that mud properties close to those of water will significantly improve drilling rate and bit life. If the water-type mud will also effectively clean the hole and cause no logging or formation impairment problems, the choice of an appropriate drilling fluid is clear—use water. Often, however, a water-type drilling fluid is not capable of effectively cleaning the hole. THEORY OF PARTICLE SETTLING The forces acting on a particle that is allowed to settle through a fluid quickly reach equilibrium, and the particle settles at some constant velocity referred to as the slip velocity. The slip velocity of any particle depends upon a number of factors such as density and viscosity of the fluid, the volume, specific gravity, shape and roughness of the particle, and upon the shape and area of the projected face of the particle at right angles to the direction of relative fluid solid movement. The friction factor f, varies as the size, shape, surface roughness and slip velocity of the body, and as the density and viscosity of the fluid varies. The discovery of oil in the Powder Wash stricture in northwestern Colorado late in the fall of 1936 is the most important development in Colorado since oil was first discovered in the Moffat dome in the same county in 1923. The Powder Wash structure gives promise of developing into an oil and gas field of major proportions and is of particular interest because the oil was found in Tertiary rocks of Eocene age, which heretofore had been productive in the Rocky Mountain region of gas only, and very few of the many structures of this kind have been tested because it was believed that oil production probably would be confined to rocks of Cretaceous age only, and these were, in most instances, at excessive drilling depths. In 1939 Illinois produced 94,302,000 bbl. of oil—almost three times the amount of oil produced at the peak in 1908, when development in the southeastern Illinois field was at its height (Fig. I). It represents nearly a fourfold increase over the 24,075,000 bbl. produced in 1938 (Table 6). This rapid increase in oil production in Illinois is largely due to development in the Salem and Louden fields (Table I). During 1939 daily production for the state increased from 135,000 to 332,572 bbl. A notable increase in production for 1940 is expected as a result of the drilling of the Devonian limestone in the Salem and Centralia fields,
