Geophysical methods of prospecting taken as a whole do not seem to offer much promise to a young man planning to enter them in the future. They have come to stay, to be sure, and they will continue in at least moderate use for a long time. Domestic use of those methods presumably is at a maximum at the present time. Geophysical pros-pecting is expensive; the effects of the law of diminishing returns in efficiency in finding prospects can already, be recognized. Small oil companies, independent oil operators, and royalty buyers have been doing much geophysical work. But in face of the increasing costs of discovery of prospects and in face of the probably decreasing favorability of the prospects discovered, I expect to see a sharp drop in their use of geo-physics within the next 10 years. The major oil companies and the larger small oil companies will continue to use geophysics indefinitely, but it seems doubtful whether the very extensive domestic campaigns of a few companies will be maintained for many years, certainly not for 10 years. The use of the geophysical methods in foreign countries has not yet reached its peak, and probaby will continue to increase for several years. That peak level of activity will probably be held for 10 years, although the site of maximum activity will shift from country to country; by the end of 25 years from now, I should expect the foreign use of the methods to have leveled off to one-fourth to one-half the peak level. Foreign service in geophysics does not seem to offer an attractive career, except for men of exceptional disposition. Young men just out of college, who are willing and who can afford to spend three or four years having a fling at adventure before settling down, will find it attractive, but when their tour of foreign service is over, they probably will have harder work finding a job than when they were seniors, and their foreign experience will count for little, except for further foreign service. A few men, mainly the higher men, will have headquarters at civilized or semi-civilized cities and towns or at permanent oil-company towns, and can

ACQUISITION JUSTIFICATION There are many reasons why companies consider acquisitions as a means to expand their operations. Some wish to reduce the impact of business cycles on their businesses. Others seek firms within the same industry for expansion and increased market share. Still others diversify in order to avoid takeovers. Whatever the reasons or justification, an evaluation of an acquisition candidate should be systematic and thorough. To many financial managers the concept of a systematic acquisition evaluation indicates the need for a regular set of evaluation criteria. While these are available from numerous sources, one basic parameter frequently overlooked is the application of these criteria to an industry which is different from the acquirer. This becomes particularly important when evaluating firms within the mineral industry. The mineral industry is significantly different from other industries to require different valuing techniques. • This paper will present a number of reasons why an acquisition candidate in the mineral industry should be evaluated differently from other acquisitions, including by other mineral firms. Additionally, this paper will review the most appropriate means of valuing a mineral firm. • Firms considering the acquisition of a mineral firm should understand the nature of the industry before ever making a tender offer. Some of the general considerations include the following: • Level of Capital Intensity: In the mid-1980's the start up cost for a gold mine has been between 20-200 million dollars and 500-1,500 million dollars for a bauxite operation. • Global Nature of Competition: Except for certain industrial minerals, most minerals and metals are traded worldwide and many on national exchanges, such as COMEX. • Start-Up Time: Many mining operations in developed and developing countries have long lead times, 7 to 10 years in some cases, prior to the start-up of production. • Long Term Nature of Investment: For most mineral operations payback usually occurs at least 7 years after production has started. Additionally, many mining operations will continue producing for 80-100 years. • High Level of Risk: The number of factors that a mining firm cannot control such as grade, volume, world supply and demand, plus the long payback periods tend to classify mineral firms at a higher than average risk compared to other investments. • Cyclical Nature: The mineral industry is cyclical in nature, experiencing long troughs and explosive peaks, thus making timing a critical issue. • Labor Intensive: Even with the large capital requirements needed to operate a mine, most mines are labor intensive in proportion to their capital equipment. • Location: Obviously, the nature of this industry requires operators to work in difficult locations, frequently far from civilized localities, in poor weather conditions and without proper supply and distribution infrastructure. One of the most important considerations is an understanding of asset replacement and asset value. Unlike manufacturing concerns, firms in the mineral industry are working toward the elimination, through depletion, of their asset base. Product flexibility is not available to a mining operation. A mineral firm basically has two options as its resource base is depleted: 1) replace the asset with new production, or 2) deplete the asset and close down operation, as in the South African gold mining model referred to later in this paper. MCMORRIS III INTRODUCTION In the early days of coarse-coal treatment by the dense-medium process in Europe, loess was one of the materials used for medium solids. Newly developed cyclones were used to reclaim and thicken the loess suspension. On occasion, when the cyclone thickener at the Maurits mine in the Nether- lands plugged, the overflow was found to be filled with clean coal free of impurity. From this observation stemmed the concept of the cyclone as a cleaning device. Development took place during World War I1 in the lab- oratory of the Dutch State Mines under the direction of M. G. Driessen. A 15 tph (13.6 mt) pilot plant was in operation in the laboratory by 1945, when, in September, Driessen made the first public disclosure of the process in a paper presented to the Institute of fie1 in London. THE origin of gold both in placer deposits and in veins, and especially the origin of nuggets, has been the subject of repeated discussions and investigations, which have been recently brought to my attention by several extremely interesting specimens sent to me for examination, and more especially by the one exhibited at the meeting of the Institute in February, 1880.* In the year 1874 I made some examinations of the hydraulic mines of Califor¬nia, and was very much struck with the distribution of the gold throughout these deep placers, which were almost invariably poor on' the surface, while gradually growing richer towards" the bed¬rock. The constant presence of fossil wood, and the large quantity of organic matter contained even low down in these beds, was also remarkable. Not being satisfied with the various theories advanced to account for the formation of these deposits, I began an investiga¬tion early in the year 1879 on the conditions of solubility of gold and the causes of the loss in working gold ore in a large way: The researches which I have undertaken show that gold must be considered a soluble rather than an insoluble metal, and that the conditions of solution are such as will be found anywhere where gold is likely to occur, and the solution may take place even under the ordinary cir¬cumstances of surface drainage, and may be going on freely even where the presence of gold has never been suspected, and that there are causes enough in nature to produce the solution of the gold in sufficient quantities to account for all the phenomena of both the vein and placer formations. The general theory with regard to the formation of these placer deposits and nuggets has been that they were the result of the de¬struction of pre-existing- vein-matter, which does not accord with the facts as shown in the deep placer deposits. OF the various methods of sampling gas-condensate wells, a method that secures a continuous representative sample of the well stream is desirable. Such a method, consisting of a sampling tube introduced into the well tubing, has proved satisfactory. The method is sufficiently accurate for operating and engineering problems. A portable testing apparatus can be used with the sampling tube to obtain data useful in studying the economic and technical aspects of the development and operation of gas-condensate properties. INTRODUCTION The recent discovery and development of gas reserves that contain hydrocarbons that condense with reduction of temperature or pressure, or both, to form a product known as condensate, has brought many new problems to the oil and gas industries. With further discovery of deep, high-pressure fields it is presumable that many more gas fields of this type will be added to the steadily increasing number. Such gas reserves are found either associated with oil as a gas cap or in separate formations. There seems to be no positive correlation between the physical or geological nature of the reservoir, and the chemical composition or phase characteristics of its contents. Knowledge of the chemical make-up and phase behavior of gas-condensate reserves are needed to cope with many problems. A knowledge of the chemical composition and phase characteristics of the reservoir material is necessary to properly design a gasoline or recycling plant, to estimate natural gas and condensate reserves, to enable the operator to study the economic and technical aspects of various methods of operation and development, and to carry out the plan of operating subsurface and surface lease equipment. This information is often useful in questions of mineral ownership, proration, legal position, and taxation. It is the purpose of this paper to discuss methods used by the writers to determine the chemical composition and phase characteristics of the fluids produced from a condensate well. The scope of the paper includes a discussion and description of the method of sampling, the results of tests on the accuracy of the sampling method, a description of a portable testing apparatus used to examine the phase characteristics, typical results of tests on wells from several condensate fields, and some of the applications of these data to production problems. References to previous work on this subject are cited at the end of the paper. THE PROBLEM At reservoir conditions of temperature and pressure, the fluids produced from a condensate well exist in a homogeneous vaporous condition. The consequent reduction of temperature and pressure that occurs as this gas enters and flows up the well tube results in condensation of some of the hydrocarbon material to form a liquid. THIS year's Chairman of the Iron and Steel Division is a noted member of a small and select group of practical scientists now working in this country and in Canada to improve the production and properties and to reduce the cost of super-quality carbon and alloy steels; he is one of those all-important leavening agents-a man with his feet always on the ground but capable of putting his head into the clouds on occasion-that are so necessary in applying science sensibly to the practical problems of steel production. He is equally at home in a discussion of the free energy of deoxidizing reactions or the entropy of the formation of stable sulphides, and in a consideration of the relative advantages of the basic-electric and the open-hearth furnace for the production of rimming steels in the Detroit area. Gilbert Soler was born of American parents in Havana, Cuba, just forty years ago. He graduated as a ceramic engineer from Ohio State University in 1930 and received a Master of Science degree a year later. In 1940 he received the degree of metallurgical engineer from the same institution.

Prior to 1916, thickening was an art, and any accurate decision as to what size of machine to install to handle a given tonnage of a specific ore must have been one of those intuitive conclusions, based on both intimate and extensive acquaintance with thick-ners and ore pulps. Then in 1916 "knowledge of acquaintance," became "knowledge about" with the publication of the Coe and Clevenger paper.' The unit operation of thickening had graduated to the status of an engineering science. The fundamental similitude relationships for the two major phases of the operation were defined so clearly that batch tests on models as small as liter cylinders could serve to specify protypes as large as 325 ft in diameter. It is quite apparent from reading the literature that Coe and Clevenger's contribution is not generally appreciated. In so far as the basic engineering relationships are concerned, the only real advance which has occurred in the 30 odd years which have elapsed since the Coe and Clevenger paper is the recognition of the effect of the rakes on the thickening process. Bull and Darby2 noted this in 1926, and the extensive use of the "gluten type" thickener, in which the effect is magni-fied, bears witness to its importance. Comings3 further verified this effect of the rakes. As a matter of fact, a number of papers show an apparent regression from the Coe paper in that the area determinations are made on the basis of a single test from One concentration of solids. Coe and Clevenger amply demonstrated that this is unsafe, since the controlling zone may be one other than that of the feed dilution. Comings3 neatly demonstrated this without apparently realizing it. Of course there have been significant advances in the application of the operation to industry. Open tray thickeners were introduced to save area; balanced tray thickeners, washing thickeners, and multifeed clarifiers were developed with all of their special hydraulic and mechanical problems. Combinations of all kinds have been introduced, such as combination agitators and thickeners, combination flocculators and clarifiers, combination thickeners and filters. With the establishment of the operation on a firm engineering foundation, installation was facilitated and expansion proceeded. There are still problems, of course, functional as well as mechanical. Sometimes the moisture in the underflow obtained in practice is not as low as is expected on the basis of the test data. Sometimes the underflow is so "thick " that its discharge and subsequent handling requires special attention. Island formation plagues some operators. The use of the thickener as a surge basin and blending tank in the cement industry poses unusual problems. Design of rakes and the drive mechanism must be continually im-proved. Corrosion problems must he overcome. Power requirements for raking the settled solids occasionally is the controlling factor as it was in the case of the all American Canal desilting installation. Other similitude relationships and design problems come into the picture when we enter the field of clarification or nonline settlement. We have an energy dissipation problem in introducing the feed and any models must satisfy the Froude model relationships. Autoflocculation requires detention which involves the same similitude laws that we encounter in the compression zone. Approach to an Exact Science The next step beyond having control of the similitude relationships is to understand the why of these relationships right back up the line to first principles. The ultimate might be that, if given the mineralogical composition of the solids and their size distribution together with an analysis of the suspending liquid, we could calculate the entire thickening behavior of the system. Then we could say we had reduced the operation to an exact science. True it might be more trouble getting this basic analytical data than to make our empirical determinations for area and volume, and we would need an ENIAC to calculate the results, but that does not detract from the desirability of such understanding. Considerable work has been done by the chemical engineers with this end in view. Comings,3 Egolf,4 Work,5 Kam-mermeyer,6 Steinour,7 and others have studied the problem. The writer has no final answer to the thickening story but would like to propose a picture of the mechanics of the two phases of thickening which has been found useful in understanding the subject and which leads to some convenient relationship in treating the compression step and arriving at the compression depth.

The Mamou Field, located in Evangeline Parish, La., is an elongated anticlinal structure on the downthrown side of a major east-west fault with oil and gas production from the upper part of the Wilcox formation. Two main producing horizons occur at an approximate depth of 11,500 ft and have been designated the Morein sand and the Deshotels sand. The upper sand (Morein) had an original bottom-hole pressure of 6,788 psig, which is some 1,500 psi above the normal pressure for that depth. Oil production with high gas/oil ratios and fluid analyses giving high shrinkage factors prompted a study of the reservoir in its early stages. The results indicated a closed reservoir producing under solution gas drive with low expected ultimate oil recovery. The early study of the Wilcox formation and its contained hydrocarbons resulted in the presentation of the data to the Department of Conservation of the State of Louisiana. with suggestions for field rules and a request for permission to inject extraneous water into the Morein sand. The water injection plans eventually led to complete unitization of working and royalty interests, to the construction of a gasoline plant, and to a central tank battery installation for the field. Deshotels sand wells were reworked to the Morein sand, and the water injection system was installed and ready for continuous operation in the early part of 1949. The injection of water was started in time to arrest the bottom-hole pressure decline at or near the bubble-point pressure. This injection was calculated to increase the ultimate recovery and to conserve natural resources. Pressure maintenance, the extraction of LPG products, and the sale of residue gas (early 1950) represent an attempt to produce an oil field with utmost efficiency. INTRODUCTION The two principal Wilcox oil horizons in the Mamou Field are the Morein sand and the Deshotels sand, occurring at 11,500 ft and 11,700 ft subsea, respectively. Minor oil production has been encountered in Morein stringer sands. (Fig. 1.) This paper deals only with the Morein sand, which is blanket over the Mamou Field. It is, however, segmented by the northwest-southeast "E" fault as shown in Fig. 2. The west segment is the area involved in the water injection pressure maintenance program. To date the east segment has operated largely under the influence of a strong water drive. The paper presents (1) a brief history of field development, (2) a resumé of reservoir conditions which led to the decision to inject extraneous salt water into the principal producing horizon, and (3) a summary of reservoir analysis and performance. Fractions of glass particles in the size range 0.5 to 5.0 µ were prepared by an elutriator that operates in a centrifugal field. Although mean sizes of commercially graded abrasive powders were ten times greater than those of samples prepared by the elutriator, frequency size plots for elutriator samples compared favorably. Efficiency of separation was low and amounts of material recovered by the elutriator were small, but the method should find use in preparation of small amounts of sized materials for laboratory investigations.

Pegasus' Gold Ltd. operates two gold/silver heap leaching operations in the Little Rockies area of Montana. The Little Rockies has produced gold from underground operations on an intermittent basis from the 1880's to the early 1950's and from the open-pits on a continuous basis since 1979. Run-of-the-mine ore is drilled, blasted, sorted, loaded and hauled. The waste is dumped and compacted into 30 meter (100 foot) fills to be used for future leach pads. The leach pads have a central drain system and the impermeable membrane is constructed of bentonite and 30 mil PVC. The plants which have beenexpanded to 4900 Ipm (1300 gpm) capacity use the Merrill-Crowe process for gold and silver recovery. 4600 liters (1200 gpm) of the 9500 Ipm (2500 gpm) spray capacity is recycled through the old leach pads for upgrading before being processed. The gold/silver precipitate is smelted and the resultant dore' is shipped to a buyerhefiner. 1983 projected production is 2,177 kg (70,000 02s) of gold at a cost of less than $10/gm.

ASIDE from being the youngest of the Porphyries-from a producing, not a geologic standpoint-Andes probably presents the most finished piece of engineering, considering the enterprise as a whole: The various units of the mining and reduction works are well designed and efficiently operated, but that is true also at most of the other properties. Some mills or smelters may be superior to those at Andes; but as a complete mechanism for the exploitation of a big copper orebody, the Andes plant stands in a class by itself in many respects. Chuquicamata and Braden, as well as the properties in the United States, grew piecemeal. Capacities were increased and new plants were built as expansion progressed. Andes, on the other hand, existed on paper essentially as it is today before a start was made on actual construction of the reduction plant. More than $35,000,000 had been spent in developing and equipping the mine, and in building the concentrator and smelter, before the first ton of blister copper was produced on January 14, 1927. And another $12,500,000 was spent during the next two years in building the leaching plant and completing other construction. The orebody had been fairly well developed and tentative plans for the erection of reduction works had been made when the post-war depression descended on the copper industry and dictated deferment of the construction of a plant. This delay, however, gave the engineers opportunity to study the problems thoroughly in preparation for the design of the reduction works. The task was performed at Anaconda, Montana, under the direction of Frederick Laist, metallurgical manager, and Wilbur Jurden, chief designing engineer, of the Anaconda Copper Mining Company's staff. This paper is abstracted from the report of the Appraisement Committee of the Independent Oil Producers' Agency, of which the writer was Chairman. The other members of the committee were M. V. McQuigg and R. S. Haseltine. To Thomas Cox, engineer in charge of the investigation, and to his efficient staff of assistants, is due the credit for the detail work necessary in carrying out the plan of the Committee. It treats only of the valuation of the lands, wells, and piping, without going into details of equipment and other features. It was recognized, early in the operation, that the value of oil lands was the value of oil to be extracted, and marketed, less the costs attendant thereon. Referring this back to the costs in cents per barrel, it became obvious that surface improvements, absolutely necessary in the production of oil, from wells then drilled; had no separate and independent value aside from the value of the land, but that any excess equipment, not necessary for the production of oil from present wells, such as drilling tools, well casing, etc., should be given a present condition value. In valuing the properties of the Independent Oil Producers' Agency, the Committee has considered the following facts: 1. That from each property there will ultimately be. produced a certain total quantity of oil. 2. That in the production of that oil a certain total quantity of money will be expended. 3. That a certain total amount of money will be received from the oil. 4. That the total net receipts will be the total gross receipts less the cost of development and production. 5. That the present value of the net receipts must be such an amount that when invested by a purchaser it will be returned with 8 per cent. interest additional during the life of the property.

Some time ago, at ameeting of the Institute Prof. J. W. Richards1 said, "I take exception to the statement that all the factors in the production of electrolytic zinc were known long ago.... There is possible in my opinion an improvement of perhaps 50 per cent. in the new electrolytic processes." An examination of the literature of the subject will show the justness of Professor Richards' contention. The work of the earlier investigators was carried on in the shadow of difficulties that, today, are hardly more than memories. We seldom hear now of zinc sponge, that bête noir of the electrolytic-zinc pioneers. Zinc sponge was the name given to a peculiar, soft, black, non-adherent form of zinc deposit that was utterly useless for melting into ingot form. At the big plant at Cockle Creek, New South Wales, in 1897, Edgar Ashcroft2 said that the solution in the plant would suddenly, and without ascertainable cause, go' "bad" and begin to deposit spongy zinc. The most delicate, even spectroscopic, methods of analysis were unable to detect any difference between "good" solution and "bad" solution; either form might change to the other on being kept for a while. When it is added that an outbreak of this insidious disease (which appeared to be infectious, or at least contagious) could be dealt with only by discarding the solution and washing out all tanks and pipe lines, some idea may be gathered of the troubles of the zinc electrometallurgist in what may be spoken of as the "sponge age" of electrolytic zinc. Thanks to the efforts of a number of investigators, we are today able to diagnose with considerable certitude the nature of the malady that puzzled Ashcroft and his co-workers. In 1936 the Institute established the Anthony F. Lucas Gold Medal, which will be awarded from time to time "for distinguished achievement in improving the technique and practice of finding and producing petroleum." These awards will be sponsored by the Petroleum Division. Captain Lucas was a pioneer in the oil industry, one of the early wildcatters and a leading mining and petroleum engineer. He was famous as the discoverer of Spindletop. He became a member of the Institute in 1895 and in 1913 was the first Chairman of the Petroleum and Gas Committee of the Institute, the forerunner of the present Petroleum Division. He also headed the Committee in 1914, 1917 and 1918. The first medal was presented at the annual dinner in 1937, Feb. 17, to J. Edgar Pew. The rock now known to almost every Middle Tennessee farmer as " phosphate," was but recently recognized as such. The existence of a stratum of black siliceous rock in the hills surrounding the Nashville Basin has been known for many years to Dr. Safford, the State geologist. Nothing about it, however, would lead to the conclusion that it contains a considerable amount of bone phosphate of lime. The only feature that might attract attention is its very dark color; and since it occurs near the " black slate," one would naturally infer nothing more of interest to be connected with that feature than that this rock and the " black slate " derived their carbonaceous matter from a common source. Many of the country people have mistaken it for coal, or for an indication of coal; this impression being strengthened by the fact that, when a piece of the rock was thrown into a blacksmith's forge, a slight combustion was observed. As will be more fully explained, the phosphate-rock is of two kinds: (a) loose or separate boulders, occurring in a stratum of clay or blue shale; and (6) solid rock occurring in a continuous stratum. The boulders have been known for a long time as "balls," "kidneys," " stink-stones," etc. ; and as early as 1887, an analysis made under the direction of Dr. Safford, at Vanderbilt University, showed one of these boulders to contain 64 per cent. of bone-phosphate of lime. This information awakened no great interest in the matter, for the probable reason that at the same time it was known, or supposed to be known, that the boulder-beds were of limited extent as

At the Lake Superior meeting, September, 1904, Messrs. A. Gibb and R. C. Philp presented a paper entitled " The Constitution of Mattes Produced in Copper-Smelting,"' in which they concluded that ferrous and cuprous sulphides formed the chemical compound, 5 Cu2S, FeS. They arrived at this inference from the observed fact that a matte containing Cu,S, 90.4, and FcS, 9.6 per cent. (or, in round figures, Cu2S, 90, and FeS, 10 per cent.), did not contain any metallic copper, while one with more than 10 per cent. of FeS readily dissolved copper, and with less than this amount retained copper in mechanical suspension. Although they determined the melting-points of five mattes containing from 32.6 to 80.1 per cent. of copper, they did not draw a freezing-point curve, as the necessary apparatus was not available. A microscopical examination of 11 polished samples gave them a grayish-black field of very uniform appearance, except that five of the specimens showed the presence of metallic copper. The object of the present investigation was to supplement the above paper by drawing the freezing-point curve of the ferrous sulphide-cuprous sulphide series, and to see how the constitution could be further revealed by microscopical work. The results obtained lead to conclusions very different from those of Gibb and Philp. While their paper bears the date 1904, it was published only in 1906.2 In the meantime, Bolles3 had presented his paper, " The Concentration of Gold and Silver in Iron-Bottoms." The raw material which formed the basis of the research was a matte containing Fe, 61.68, and Cu, 11.20
