"7.1. INTRODUCTIONThis chapter addresses the joint venture and examines a number of general concepts of the joint venture relationship. Chapter 8 looks at some specific concepts related to the provisions of a joint venture agreement, which are equally applicable to a shareholders’ agreement or other contractual relationship. The term “joint venture” is used because the author is a common law solicitor (a matter of convenience for which apologies are offered to civil law readers), but it should be noted that, in many aspects, the legal structure of an entity is irrelevant. It is the relationship of the parties, be they venturers or shareholders, that is important, and the areas of concern are surprisingly similar (except for terminology).The details of the joint venture relationship and agreement could fill several books. Accordingly, this chapter and the next focus on selected topics that appear to have caused problems or confusion or to be the basis for disputes. And remember that, although the following discussion is in the context of a joint venture, many of the comments apply, either directly or indirectly, to virtually any common undertaking and the agreement defining it.For interest’s sake, this chapter starts with a summary of some of the earlier types of agreements and arrangements that have evolved into the joint venture agreement of today in Canada, the philosophy of their format, and the reasons for their demise.7.2. EVOLUTION OF THE CANADIAN JOINT VENTUREThe Early DaysMuch of the opening up of Canada’s north is due to exploration for and development of mines. The early discoverers were relatively free to roam and explore at will and, if they were fortunate enough to find something, they dealt with the appropriate government to acquire exploitation rights. The early interests lay in gold or silver. Workings were small, usually worked by the owner alone or with only a couple of helpers to extract the native gold or silver. If the owner wanted to move on, he could sell his property outright and use his stake to look elsewhere.As logging and mining camps were opened, the development of better roads and railways made access easier. Entrepreneurs saw the opportunity to make money by assembling large parcels of land and working them as a single operation. In order to do this, some owners who were not ready to sell out had to be convinced to do so through more attractive offers"

Foreign mining publications describing successful hydraulic mining installations, and successful domestic hydraulic mining in a gilsonite bed, have prompted the Federal Bureau of Mines to conduct a literature survey of foreign publications to determine if the hydraulic mining method can be applied to domestic coal mining. Most foreign publications do not give detailed data about the water pressures, water capacities, and production and manpower requirements for successful hydraulic mining, However, they do provide enough general data on mining conditions, manpower, and equipment used to show that conditions in many bituminous coal deposits in the United States may be favorable for economical coal extraction, using high-pressure water jets. Therefore, the Bureau proposes to conduct a field investigation to determine the most appropriate natural conditions, water pressures, and equipment for successful hydraulic mining of coal beds in the United States with variable dip, thickness, and hardness. In the past, technical personnel reviewing foreign mining reports assumed that a steeply pitching coal bed was necessary for successful hydraulic mining. Although the structure of the coal bed may be a factor in gaining assistance from overburden pressures or help in an integrated hydraulic mining and transportation system, the coal is broken mainly by the action of high-pressure, water-penetrating cracks, fissures, or cleats; therefore, the slope of the coal bed is not necessarily a determining factor in hydraulic mining.

Mining of potash more than 3000 ft beneath the water-bearing sediments in Saskatchewan presented the unique challenge of designing stable mine workings and assuring protection from overhead water in a material that was believed to flow plastically, but whose behavior as a plastic material was not sufficiently known. Under the stress conditions ordinarily encountered in mining most rocks behave as elastic materials; that is, they compress slightly under pressure, and rebound when the pressure is released. Salt and potash, however, are different. Even under the relatively low pressures encountered at shallow depths, these materials become slightly plastic and yield to stress by flowing.* The plastic properties become more pronounced at greater depth and pressure, and the question arises as to whether or not the plastic flow will be rapid enough and exert enough pressure to destroy underground structures or interrupt the mining process.

Provide a low-maintenance, reliable means of generating bubbles and controlling bubble size for column flotation. Approach Commercial sparger systems used in flotation columns to process minerals provide only limited means of controlling the size of bubbles generated and the rate of air injection. Generally, these limitations are a detriment to flotation performance, particularly in recovering coarse or fine mineral particles. In addition, conventional bubble generation systems require frequent maintenance, often requiring shut-down of the column itself for repairs. To permit greater control of the bubble size generated in the flotation column and to eliminate the counter-productive problems associated with the operation of current air sparger systems, the Bureau of Mines investigated alternative methods for generating bubbles. Based on the investigation, an external bubble generation system was designed, developed, and laboratory and commercially tested.

I went to the University of Michigan, where I got an A.B. degree in 1902; then to the Michigan College of Mines at Houghton, graduating from there in 1904 with a B.S. and an E.M. What was your first job in the mining industry, Mr. Turner, and what were you paid? In the summer of 1902, 1 was a field assistant for the U. S. Geological Survey in southwestern Idaho and southeastern Oregon, working under Israel C. Russell, professor of geology at the University of Michigan, who incidentally, had just returned from an expedition to study the effects of the eruption of Mt. Pelee, on Martinique. I was paid $60 a month and found; in addition to doing geologic and hydrographic work, I cooked many of the meals for a party of four, and wrangled four horses. I slept for four months under the stars, without a tent.

Thin Spray-On Liners (TSLs) have been researched and in development for over two decades and yet their fully functional and widely justifiable application in mining has yet to be achieved. While the explanation for this is partly technical, it is also clear that proving and communicating the operational and economic case for why a mine should change from mesh or shotcrete liners to a TSL is not a trivial matter. Evidence must be presented and communicated effectively, that is both obvious and compelling for a mine operator. The paper describes recent work carried out and directed towards this end, with funding from CAMIRO?s Deep Mining Research Consortium and additional support from 3M Canada and ABB Canada. The essential progress that has been, or is in the process of being made, will be described in providing the necessary proof of acceptable or superior TSL performance in the following areas: polymer formulation, health and safety, geotechnical specification, robotic liner application, business case economics and yielding ground support effectiveness. Future plans are also presented to demonstrate the performance of a new 3M composite TSL/yielding bolt support system in underground trials where the substrate rock is intended to fail through a number of mining-induced mechanisms.

Structural and topographic relief in the Sangre de Cristo Mountains of northern New Mexico provides a remarkable cross section through the recently recognized 23-26 m.y.-old Questa caldera and cogenetic volcanic and plutonic rocks. Although largely eroded, remnants of an ash-flow sheet of silicic-alkalic rhyolite and associated more mafic lavas of the Latir volcanic field are preserved as far as 45 km beyond the source caldera. Within the caldera, the tuff ponded to a thickness of 2-3 km and enclosed chaotic megabreccia fragments which slumped from the caldera walls. At the time of ash-flow eruption, the volcanic field was severely deformed along northwest-trending faults related to the Miocene Rio Grande rift, with most intense deformation occurring within the caldera. Strata were steeply tilted and locally overturned along presumably listric faults. Ash- flow tuffs locally underwent secondary flowage over concurrently developing fault scarps and accumulated within structural basins as rheoignimbritic lava flows. Cogenetic batholithic granitic rocks, exposed over an area of 20 x 35 km, range from mesozonal quartz monzonite to epizonal porphyritic granite and aplite, with the shallower and more silicic phases most abundant within the caldera. Compositionally and texturally distinct granitic phases define a highly evolved resurgent intrusion within the caldera, an incomplete ring dike along its southern margin, and a large mass of less fractionated quartz monzonite south of the caldera. A negative Bouguer gravity anomaly is closely confined to the area of ex- posed granitic rocks; it also reflects boundaries of the Questa caldera. The gravity anomaly is interpreted as defining the extent of the underlying batholith, emplaced into lower parts of the volcanic sequence and underlying Precambrian rocks. Paleomagnetic determinations indicate that the granitic rocks were above Curie temperatures at the time of caldera formation and regional listric faulting, yet most are little different in radiometric age from the intensely deformed volcanic rocks. These relations indicate that the batholithic complex represents the source magma body for the volcanic rocks, into which the Questa caldera collapsed, and was largely liquid at the time of regional tectonic disruption. Compositions of the volcanic and plutonic phases changed from early calc-alkaline metaluminous rocks, to weakly peralkaline silicic rhyolite and equivalent afredsonite-acmite granite at the time of the caldera formation, then back to post- caldera calc-riebeckite granitic rocks. Maximum concentrations of alkalis and minor elements such as Rb, Th, U, Nb, Zr, and Y were reached at the time the caldera formed about 25-26 m.y. ago, but the major molybdenum mineralization of the Questa district took place when the late calc-alkaline granitic ring intrusions were emplaced about 23 m.y. ago, along the south margin of the caldera.

"Tamano Smelter or Hibi Kyodo Smelting Co. Ltd. is operating with the Tamano Type Flash Smelting Furnace method which is a flash smelting furnace without slag cleaning furnace but which can discharge a slag equivalent to that from the slag cleaning furnace and with the development or coke combustion technology which is the basis of this world's only one type flash smelting furnace process, the smelter exhibits a low operation cost under high productivity operation. Utilizing this experience and improving it we have developed and put to practice an operation guide system using a general purpose computer in order to further establish s stable operation. In this paper these improvements are described. Background of System DevelopmentWith the recent rapid progress of general purpose computers and improvements in their performance an environment for the use or computer in process simulation at low cost and simple operation has been established. If an accurate operation simulation can be done with the Tamano Type Flash Smelting Furnace the merits would be very great and thus we started development of the system. The official name of this system is Computer guide system for Coke Combustion in the T-FSF and taking the initial letters we call it CCCT. We aim to achieve operation with stable mane grade, temperature and slag loss in the furnace by maintaining the most suitable combustion conditions of concentrate and coke in the flash furnace with the assistance of CCCT to the flash smelting furnace operators.Through several production expansion projects clone in the past by oxygen enrichment the copper concentrate treatment quantity and matte grade have increased step by step as shown in Figure I. Following this increase the difference between the operation calculation results al the initial stage of coke combustion and the actual behavior of furnace (matte grade. temperature in the furnace. etc.) gradually became bigger. Further operation procedures taken by different operators against the same phenomenon were sometimes different depending on each individual, which from time to time caused the operation to become unstable. Prior to the development of the system we checked out thoroughly the weak points of operation calculation procedures which were in practice until that time. The results were analyzed and study was carried out to establish a most suitahle operation calculation procedure and finally we reached this system"

This report describes sulfatization of nickeliferous laterites from Puerto Rico and the Philippines for recovery of water-soluble nickel and cobalt sulfates. Temperatures ranging from 665 C to 710 C and a 10-percent sulfur dioxide-air reaction gas were employed during batch-roasting tests and during continuous countercurrent treatment in a 2-inch-diameter shaft furnace. A maximum of 69 percent of the nickel and 76 percent of the cobalt were recovered from one sample of Puerto Rican laterite, and a maximum of 96 percent of the nickel and 91 percent of the cobalt were recovered from the Philippine laterite.

The potential of hydrogen peroxide explosives was introduced to Thomas Gustavsson and Robert Håkland by Dr Miguel Araos through his development of hydrogen peroxide gel compositions (HPG). In 2020, Thomas and Robert developed a concept project with Boliden Minerals and received Swedish government funding to evaluate HPG technology in a mine environment. The project showed HPG reacted violently with mine mineralization and concluded that HPGs did not offer a commercial solution due to safety concerns. Thomas and Robert engaged with Stefan Nilsson to develop hydrogen peroxide emulsion (HPE) compositions and the process techniques to manufacture them. In 2021, laboratory work produced a promising low carbon intensity, nitrate free, ammonia free, emulsion formulation based on industrial grade hydrogen peroxide and a fuel-emulsifier phase. Design and construction of an HPE pilot plant and underground charging unit commenced. The manufacture of hydrogen peroxide emulsion shares several similarities with the production of nitrate-based emulsions in that the plant is a facility to blend a strong oxidizer solution with a liquid fuel phase into a finished emulsion. A key differentiator between HPE and nitrate-based emulsion is that the manufacture of HPE is a cold production technology in that neither the oxidizer phase (HP) nor the fuel-emulsifier phase requires high temperature heating to prepare raw materials. A successful proof-of-concept HPE evaluation ran from April 2022 to October 2022 at Boliden’s Kankberg underground mine in Sweden. This evaluation demonstrated HPE technology's safety, performance, production, handling, and indicative environmental benefits.

The last two decades have witnessed the emergence of numerous hydrometallurgical and direct processing techniques for the extraction of some metals from pocketed/lean/complex sulfide ore deposits. A new approach with some inherent technological merits, investigated in recent years, is the lime-enhanced reduction of metal sulfides. Thermodynamic aspects relevant to the lime-enhanced reduction of metal sulfides by H2,C0 and C are discussed. A survey of the researches on the basic features of and factors influencing the lime-scavenged reduction of selected sulfides and sulfide concentrates reveals that lime tremendously enhances the sulfide reduction rates (up to 100 times) and drastically reduces the sulfur emission into off-gas to negligible levels. Further successful practice of lime-enhanced reduction requires only a moderate temperature of reduction (characteristic of each sul¬fide) and, in the case of gaseous reduction, relatively low gas flow rates. Relevant kinetic aspects of the concerned reactions that have a bearing on process development and its understanding are also briefly discussed. A conceptual scheme of general applicability for the processing of sulfide concentrates by the lime-enhanced reduction technique consists of three main steps: (0 lime-enhanced reduction by a suitable reagent (e,g., H,2, CO, gasified coal, water gas), (ii) separation of the product metal from the dry slag (CaS + unused CO) by mechanical separation, magnetic/gravity concentration or flotation and (iii) melting and refining by standard procedures. This novel approach, which is patently less complex, is expected to employ basically simpler flow sheets at comparatively lower operational temperatures and aid in pollution abatement. Potential for developing such a route for the small scale extraction of metals like copper, molybdenum and antimony is indicated. Possibility of utilizing this technique for the production of fibers/ filaments of some metals is also outlined.

At Tropicana gold mine (TGM), mine planning is completed from ‘one source of truth’ known as the Integrated Planning Model (IPM). The IPM is a block model which forms a core component of the TGM Mine Planning System – used for short, medium and long-term mine planning cycles, and for Mine to Mill reconciliation.The IPM was developed from a desire to consolidate long-term information contained in mineral resource and ore reserve models, with short-term information from the grade control processes, including grade control models and ore polygons.The IPM is informed initially by resource models, upon which the longer term budget and schedules are based. The IPM is routinely updated with grade control models and ore design information, providing increased confidence for short to medium term mine planning. In this format, the IPM also provides a framework for reconciliation of resource performance with grade control, mining actuals and mining schedules, and ultimately milling. As well as a means for analysing past performance through reconciliation, it has proven its worth as a predictor of variation and an input to successful schedule sequencing and change management. The IPM is a critical component of the TGM Mine Planning System, providing a centralised framework for short interval mill feed prediction through to life-of-mine (LOM) planning.Current development of the IPM is working towards incorporating Mine to Mill optimisation and real-time material tracking projects at TGM. If successful, the model will provide a truly powerful mine planning data source. Current development outlines a mechanism for tracking material from Mine to Mill, and for transferring mill performance data back to the IPM. Increasingly advanced material classification and mine planning, incorporating the multiple geometallurgical variables, will enable the mine to provide consistent mill feed products and result in a steady state and optimised mill.This paper outlines the vision, creation and benefits of the IPM at TGM. The dynamites are graded according to the percentage of nitroglycerin that they contain. Thus a “40% powder” would be one in which the sticks, weighing one-half pound each, would include one-fifth of a pound of pure nitroglycerin. Dynamite is usually packed in paper cartridges weighing about one-half pound each which will vary in diameter. When ordering, it is customary to specify a size of cartridge that will as nearly as possible fill the drill hole, the commonest size being 1 ¼” in diameter by 8” in length. It is nearly always shipped in 50-lb. boxes, which have a volumetric capacity of 3/4 cu.ft.

Information integration and exchange for the entire building life cycle is one of the most important issues in the AEC industry. Although the Building Information Model (BIM) technology is widely utilized to address them, BIM is mainly concerned within the design and construction (D&C) phases. In the operation and maintenance (O&M) phases, however, the information integration and exchange issue becomes more complicated because software applications here require not only BIM but other information outside of the AEC domain, e.g., disaster mitigation. Nowadays, most BIM-related research focuses on the D&C phases and pays less concern on the O&M phases, hence there is a research need that can help seamlessly transfer the information between the D&C and O&M phases. In this research, a software framework using ontology was designed to deal with aforementioned problems. The BIM data from the D&C phases were used as a foundation to generate new models for different software applications for the O&M phases. The ontology technique was employed to assist the model transformation process between the original BIM and the models for applications. Finally, a disaster mitigation example was chosen to validate the framework, in order to make sure that the transformation process is comprehensive and useful from domain experts? perspective.

Discussion of a Paper by Mr. C. H. White, read at the Atlantic City Meeting, February, 1904. (Annual Meeting, February, 1005.) ARTHUR JARMAN, Sydney, New South Wales, Australia (communication to the Secretary*) : All designs for modern metal¬lurgical and chemical laboratories should provide each student's desk with a hood or cupboard for the removal of fumes, but I doubt the advisability of placing air-baths and similar apparatus close to the hot plate. It seems to me that unless the draft be exceptionally strong the fumes from ordinary wet assay work will corrode the iron-work of the fittings, in which case the baths would have to be removed to a general desk in order to lighten the work of the laboratory attendant. Since the laboratory described by Mr. White has been in use for two years, I should like to ask if any inconvenience has resulted from this corrosion. If not, it is certainly an important improvement to have the air-baths and similar apparatus placed -on the student's desk. The hoods described by Mr. White are supplied with a good draft by means of a fan, which gives them a great advantage over those at the metallurgical laboratory at the University, Sydney, in that no doors to the hood are needed. Each hood in the laboratory at Sydney is connected by a glazed earthenware drain-pipe with a vertical flue, 20 ft. high, having a lighted gas jet at the bottom to assist the draft. Although the draft is good, fumes of sulphuric acid cannot be drawn o$ unless the doors of the hood are lowered more than half-way. In my opinion, a fan should be used for the purpose of creating the draft, and glazed drain-tile should invariably be used for the flues because no other material possesses the same advantages. Eleven major pyrometallurgical processes and operations suggested for recovering manganese from domestic resources are described. These include seven pyrometallurgical processes that usually yield a ferroalloy or a product from which ferromanganese can be produced in one operation. The remaining four involve pyrometallurgical operations whose products require either an additional two-stage process to produce ferromanganese or chemical processing to recover a high-quality manganese oxide product.

A tool is being developed to predict and visualize the microstructural evolution of steels during quenching. This tool utilizes experimental data and reference data that are stored in a database to predict the microstructural development. The visualization tool animates qualitative representation of two- dimensional microstructure drawings as well as the quantitative volume fractions of phases present as a function of time. This is achieved by superimposing the Jominy End-Quench test results over the Continuous Cooling Transformation diagram of the alloy. The predicted microstructure is presented through the web browser to maximize the ease of use. In addition, a parallel coordinate system is used to aid in identifying similarities within the data set by presenting the large number of data at a glance. The results for 4140 steel that was quenched in a wide variety of quenchants will be presented to illustrate the prediction and visualization tools. Masurium and rhenium are two elements known only to a few scientists and known to them for scarcely more than five years . The existence of two members of the manganese family was long suspected , and places were left for them in the orderly table of the periodic systemas developed by Mendeljeeff . The empty spaces left in this table some 60 years ago were for elements numbered 43 and 75 , respectively , and since it was evident these were related to manganese they were sought for in research laboratories under the names of ekamanganese and dvimanganese . This nomenclature is in harmony with that usually employed in describing hypothetical elements , and the prefixes are taken descriptively from ancient Sanskrit wherein the word " eka " means one and " dvi " ( also spelled dui or dwi ) means two . Ekamanganese or element 43 was once removed and dvimanganese or element 75 was twice removed from manganese . It was further possible to predict that these elusive elements would not only be related to manganese but would have a great deal in common with certain other elements . It was reasonable to suppose that element 43 , merely because it stood in numerical sequence between element 42 and element 44 , would likewise prove to be intermediate in many other respects . Since its next neighbors were molybdenum ( No. 42 ) on the one hand and ruthenium (No. 44) on the other , ekamanganese could be given in advance what would correspond among persons to a social and economic rating . Similarly , the properties of dvimanganese were likely to be in simple harmony with those of tungsten and with those of osmium , which latter , like ruthenium , is a member of the platinum group of metals . Another inference , although one which could not be stated with scientific certainty , is that these new elements because they have odd instead of even atomic numbers , would be even more sparingly distributed than their near neighbors , none of which is abundant in nature . This inference has been amply supported by available evidence . These elements eluded discovery until 1925 and never have been found except as minute traces in complex association with relatively rare minerals . In 1930 , for the first time , rhenium became available in quantities which give promise of commercial possibilities , but masurium still stands on the border of the unknown , like some distant star speck photographed and identified by vigilant astronomers but invisible without the aid of the powerful tools of science . The telltale flame of element 43 has been charted by its spectrum lines ; but beyond that , little more can be said except perhaps to repeat the forecasts made for ekamanganese before the Noddacks captured it and gave it a definite name . Certain rare - mineral dealers will furnish molybdenite samples from Norway which are said to contain masurium as well as rhenium , but except for a few highly technical statements as to its behavior in the spectrograph , nothing in the way of concrete information on masurium has come to the notice of the present writer . The literature of rhenium is a little less meager and a brief résumé of the data available in the files of the Bureau of Mines may be of interest not merely because of the novelty of the metal but because its unique properties and increasing availability afford a prospect of its finding employment in industry .

Driven by market trends, increasing environmental accountability, government regulations and fostered by the Company’s strategic plan, ArcelorMittal Tubarão has developed new steel products to deliver better solutions to fit each customer’s needs. This often translates in higher strength, more complex and dimensionally challenging (thinner and wider) steels to attend a broad array of goals, such as reduction of vehicles fuel consumption and carbon emissions, increase in fatigue performance of heat treated parts, higher load capacity per net weight in vessels or wagons and lower supplying lead time as ArcelorMittal Tubarão establishes itself as a domestic option for so far imported grades. Based on the annual Product Development Plan, a structured workflow involves technical discussions from an operational point of view about safety issues, metallurgical project, steel grade family definitions, offline simulations prior to field trials, deformation resistance and process parameters adjustments and scheduling strategy. As a result of the increasing synergy between the areas, the share of new materials developed in recent years has been sustainably increased up to 15% in 2018, adding value to the final product without impact on hot rolled coil output and with a low cobble index.
