I. HISTORICAL. BARITE has been mined for many years in various parts of Virginia, probably the earliest mining-operations being in Prince William county, within 600 ft. of the Fauquier county line, about 4 miles south of east from Catlett, a station on the Southern Railway. It is claimed that the mineral was mined here as early as 1845. Mining-operations in Campbell and Pittsylvania counties in the Piedmont region, and near Marion in Smyth county, in the southwest Virginia Valley region, were begun about 30 years ago. The mining and milling of barite on a commercial scale in Tazewell and Russell counties are more recent, and commenced about 15 years ago. II. GEOGRAPHICAL AND GEOLOGICAL DISTRIBUTION. Barite occurs in many counties in the State, as shown in Fig. 1, but the industry has been confined to only a few of them. Its occurrence is noted in two of the three major divisions of the State-namely, the Piedmont region east of the Blue Ridge, and the Paleozoic area west of the Blue Ridge. In the Piedmont region the mineral has been mined in the following counties:, Bedford, Campbell, Louisa, Prince William, and Pittsylvania. In the region west of the Blue Ridge, composed of Paleozoic sediments, barite has been mined in Montgomery, Russell, Smyth, and Tazewell counties. Of the counties mentioned, Bedford, Campbell, and Pittsylvania of the Piedmont region, and Russell, Smyth, and Tazewell of the Valley region, have been the principal producers. In 1906, operations were confined to five counties-Bedford, Louisa, Pittsylvania, Russell, and Tazewell-but in the first two counties named there was no production, the work being solely development.

INTRODUCTION In the second quarter of 1979, Rapid Mining Co., Inc. ("Rapid") inquired whether Crocker National Bank ("CNB") would provide $4 million in term loan financing to help ("Dry Creek") acquire the outstanding shares of the Dry Creek Coal Company ("Dry Creek") in West Virginia. Prior to approaching CNB, Rapid had sought financing with the assistance of a financial advisor from a number of commercial banks without success. A summary of the initial terms requested by Rapid is shown in Table 1 compared with the actual terms on which the transaction closed. It is not difficult to note that the two sets of terms differ significantly. This is often the case when financing requests based on the expectations and vision of a mine developer are juxtaposed with more pragmatic requirements of a commercial bank. The "art" and fund of structuring financing plans for mining ventures (highly leveraged acquisitions or grass roots) comes in working with mine developers to arrive at a final financial structure that meets their objectives and constraints as well as those of the bank or other financial institutions providing much of the financing. Beginning with the terms requested by Rapid and ending with the terms that closed the transaction, this article briefly describes the process we went through with Rapid Mining. The Seller and Buyer The Dry Creek Coal Company was established in 1961, after its owner acquired the coal leases from Republic Steel. Republic has mined the primary coal seam from 1948-1961. Dry Creek was owned as a subchapter S corporation (i.e., for federal income tax purposes, income is taxed at the shareholder level) and had been run on a low key basis. Since the company had virtually no debt and limited cash needs, the owner produced primarily when rail cars were available and income was required. Output was therefore erratic as is shown in the top of Table II, but the result was a profitable little company with an attractive free cash position. Because the owner wished to retire and enjoy his wealth in a more readily spendable form, he had put the mine, with stated recoverable reserves of approximately 13 million tons, up for sale. In contrast, Rapid Coal's investors consisted of a number of investors of disparate financial situations. They had agreed upon a primary objective of income maximization and planned an annual production rate of 120,000 TPA which they and the current owner believed realizable. The Formulation of a Financing Structure Figure 1 presents a simplified overview of the sequence of steps taken in the financing process which lasted approximately three months from start to finish. Since banks see many requests for funding and considerble time is required to follow up on each, an important step was determining, after a brief review of the materials provided to us, whether the basic "eonomic entity" was viable. In this case, the size and quality of the reserves, the inherent operating cost characteristics, the sales arrangements, the management/labor situation and Rapid's principles all appeared to be sound enough to warrant investing the time necessary to do a thorough analysis of the project. Once this decision was made, the evaluation and analytic process shown in Figure 2 was initiated. The first and most fundamental concern of any banker is whether the loan will be paid back as scheduled from the cash flow generated by the project. The amount of debt relative to the owner's equity is of course crucial in such a determination. Conventional underground mapping methods and diamond drilling are being applied in a study to determine the nature of the copper ore occurrences near the footwall of the Osceola lava flow top, commonly referred to as the Osceola Amygdaloid. The work to date suggests that structures formed by relatively impermeable barriers, created by flowage and injection of still-molten lava from the interior of the flow into the solidified, brecciated crust, acted as the ore receptacles. Ascending hydrothermal fluids traveling near the footwall contact were trapped and confined in these barriers which retarded the direct upward movement of the ore fluids and caused deposition of copper. Oreshoots located near the footwall appear to have been formed spatially independently from the hanging-wall oreshoots by fluids traveling simultaneously, but along different channelways. The barrier concept, as advanced by earlier writers to explain the concentration of the ore-bearing fluids into broad shoots constituting entire ore bodies, is found to be equally as applicable for the localization of smaller oreshoots within the Osceola ore body. Recently, the Calumet Division of Calumet and Hecla, Inc. completed the unwatering of the old mine workings on the Osceola amygdaloid. Two shafts were subsequently reactivated and mining commenced on the Osceola lode after an idle period of over 20 years. Early in 1961, the Calumet and Hecla Geological Dept. was assigned the task of locating additional reserves. Accordingly, an intensive mapping and underground diamond drilling program was initiated. Except for a very few years following the first mining on the amygdaloid, the Osceola lode had never been a high grade producer. It was, therefore, recognized from the onset that a concentrated effort would have to be made by the mining, milling, and geological departments to insure success of the project. Company reports contained many references to ore that had been located near the footwall of the Osceola amygdaloid. Information concerning the grade of this ore was meager, but it was known that at least some was very rich. In contrast to ore that occurred near the hanging-wall, however, the footwall copper did not appear to have a systematic distribution and a large amount of poor rock had to be removed in developing this ore. This, of course, resulted in high development costs and discouraged any extensive mining of footwall ore. The possibility of more continuity than had previously been suspected was recognized by other workers, in particular Dr. T. M. Broderick, formerly Chief Geologist of Calumet and Hecla, who suggested attempts be made on a trial basis to follow the footwall contact with the main development drift. As most mining was done on the Osceola lode before a geological department had been established by the company, and almost all of these openings are now caved, very little information concerning the geology of footwall ore was available. It was, therefore, decided that the first step in the exploration program would be to become familiar with footwall ore occurrences by mapping the geology as the openings were driven. It was possible that a mapping program would reveal the features that controlled the localization of the ore. Furthermore, if it could be shown that footwall ore was more continuous, or if its distribution was more systematic than generally believed, it would be possible to produce a high grade ore that could be blended with the lower grade hanging-wall ore. In connection with the geological program, the Michigan College of Mining and Technology Geophysical Dept. under the direction of Professor Lloyal Bacon, is making a geophysical study of the problems of locating footwall ore by electrical methods. GENERAL GEOLOGY OF MICHIGAN NATIVE COPPER DEPOSITS The native copper deposits of Michigan are located in Keweenaw, Houghton, and Ontonagon Counties. The host rocks are Keweenawan in age and are comprised of interbedded sediments and lava flows which form a belt two to four miles wide and over one hundred miles long. AT the last meeting of the Institute, Mr. A. L. Holley read a paper on "Steel," in which he proposes for it a definition so opposed to the one generally received, as to call for some remarks. Until within the last five or six years there has been no dispute on the subject, and it seems worth while to investigate the matter. For not only does a proper tax on all importations depend on a proper appreciation of the term steel, but it is necessary to know whether steel, or wrought-iron, or homogeneous iron are requisite in all processes of manufacture in which malleable iron is employed, on account of cost, strength, etc. Karsteu* says : " Iron may be obtained, either as an unforgeable, unweldable metal, which melts at a high heat, termed cast-iron; or as a ductile, weldable, soft metal, which can only be melted at the * Karsten, Handbuch der Eisenhüttenkunde, 3d ed., vol. i, p. 6. Before the present company was formed, in 1916, each group of mines comprising the old organizations made its detailed daily and monthly mine cost records along the lines used before the consolidation; that is, there was no attempt made to standardize and compare the stope costs of all mines. The general cost sheets for all mines, however, were standardized, and cumulative labor cost sheets were compiled in the general superintendent's office. At most of the mines, a daily record or distribution sheet for each working place was kept, showing the number of men, hours of drilling, hours of timbering, hours of tramming, cars of ore, cars of waste, sticks of powder and feet of fuse. This information was kept by each shift boss and entered on the distribution sheet by him or, at some mines, by a tram boss. The superintendent solved his own problems under the direction of the general superintendent, but without coming in touch with other superintendents, either through records or general conferences. Probably 95 per cent. of the stopes were square-set worked by day's pay; there were some back-filling and shrinkage stopes. Many of the development places, such as shaft sinking, station cutting, drifting and raises had always been run by contract. These contracts were given, for no definite period, at so much per linear foot and were measured monthly, or when completed, the men being paid monthly. In some cases, fairness to the employee was not maintained. On the whole, there was no standardization. There were no stope contracts, because of the objections of the Western Federation of Miners to general contracting in the mines. Changes in Stoping Methods Early in 1916, W. B. The object of this paper is to present a brief outline of the methods of geologic mapping employed in the Geological Department of the Anaconda Copper Mining Co., at Butte, and to show by means of a few typical examples the practical nature of the results obtained. The extremely complicated geological conditions early encountered in Butte mining led mine operators to realize the necessity of accurate detailed geologic mapping m an aid to successful development of the ore bodies. The organization of the Anaconda Geological Department was undertaken in 1900 by H. V. Winchell, who, in conjunction with D. W. Brunton, worked out the essential methods of procedure which are, in the main, followed at the present time. Since the year 1906 the geologic work has been under the direction of Reno H. Sales, and in some respects the scope of the work has been slightly enlarged. An excellent article describing the general equipment of the geological department was presented by D. W. Brunton at the British Columbia meeting of the Institute in 1905.' His idea, that data collected underground and recorded should be put to practical use and not remain a mere " inventory of the company's underground possessions," is the keynote to the success of applied geology in Butte. The geologic notes are taken as soon as possible after the ground is broken so that any mistake in the mining may be corrected at once, or any particularly advantageous procedure may be suggested before any useless work is done. Taking the notes underground is a comparatively simple matter, but a few necessary precautions may be pointed out. The essential to success is that the notes shall show exactly what geological facts are disclosed. The observer must discriminate carefully between important and unimportant exposures in making the record, especially as regards the relation between veins and stringers, between faults and minor slips, or between the characteristics of veins of different ages. At Elkol, Wyo., about 80 miles northeast of Ogden, Utah, the Kemmerer Coal Co. and the Utah Power and Light Co. are involved in a joint venture that will soon see 1 million tons of coal going "out by wire" to Ogden. Kemmerer, owner of a multi-seam strip mine, and the utility, now building a steam power plant adjacent to the mine site, expect to begin initial power generation by February 1963. Although capable of producing only 150,000 kw at that time, this plant is expected to be ultimately enlarged to 500,000-kw capacity which will require about 2 million tons of coal annually. The deposit consists of more than 30 seams of coal, usually varying in thickness from 2 to 40 ft, and separated by beds of sandstones and shales. In certain areas the aggregate thickness of all the coal seams measures 300 ft. The thickest and most spectacular of these seams is the lowest one, referred to as the No. 1 seam, which is 118 ft thick in some places.

MAGNESIUM oxide is by far the most refractory of the common oxides, since it has a melting point of 5072 deg. F. as compared with 3110 deg. F., the melting point of silica (crystobalite) ; 3722 deg. F., the melting point of alumina (corundum) ; and 4127 deg. F., the melting point of chromite (Cr2O33FeO). Its large-scale use in the lining of metallurgical furnaces dates back to the latter part of the nineteenth century, when extensive deposits of magnesium carbonate were discovered in southern Austria in the province of Styria. Before the development of Austrian magnesite, calcined dolomite, a mixture of lime and magnesia, was used in basic steel-making furnaces. The lime in the dolomite was quite objectionable, since it slaked on exposure to the atmosphere, and dolomite therefore could not be made' .into permanent furnace bottoms or into brick. The Austrian magnesite, with its very low lime content, was free from these objections and soon displaced much of the dolomite. With the extensive development of basic steel-melting, the rise of the copper industry, and other metallurgical and chemical processes which dealt with chemically basic substances, the use of magnesite grain and magnesite brick increased rapidly.

The works of the Tula Iron Company are in the Republic of Mexico, State of Jalisco, twenty-eight leagues southwest of Guadalajara, ten leagues northwest of the town of Sayula, through which passes the projected line of the Mexican National Railroad. Its geographical position would be about: latitude, 20' 10' N., longitude, 40 35' w. of Mexico City. The surrounding country is a rolling plateau, 6000 feet above the sea, enjoying the most magnificent climate in the world, the average temperature being about '70'. The cut-and-fill mining methods in use in the mines of The International Nickel Company of Canada Limited, at Falconbridge Nickel Mines Limited, in the Sudbury District, and at McIntyre Porcupine Mines Limited in the Porcupine District, are typical of the general cut-and-fill practice in both the base-metal mines and the gold mines in the Province of Ontario. The following pages describe the methods in use. HORIZONTAL CUT-AND-FILL STOPING Horizontal cut-and-fill stoping, as practiced in the mines of The International Nickel Company of Canada Limited, falls into two main classifications: (I) transverse cut-and-fill stoping, where ground conditions or wide ore bodies make it necessary to establish narrow stopes and pillars across the width of the ore body; (2) longitudinal cut-and-fill stoping where ore body widths and ground conditions allow safe mining of the full width of the ore body. Transverse Cut-and-fill StopiNg General Stoping Layouts Stope and Pillar Widths.—For transverse stoping, experience has indicated that narrow stopes and pillars, 27 ft. 6 in and 22 ft., respectively, are most satisfactory. These width are multiples of 5 ft. 6 in., which is the center to center dimension of a standard square set. Thus any stope, or block of stopes, can be readily converted from cut-and-fill to square set-and-fill if ground conditions should warrant such a change. Formerly, pillars were established 16 ft. 6 in. wide, the equivalent of the width of three square sets, with the intention of extracting the pillars by mining an overhand slice one set wide and an underhand slice two sets wide. However, subsequent experience proved that a two-set overhand slice is so much more efficiently mined than a one-set slice, and 22-ft. pillars have been made standard. Chutes.—The stope chutes are established on the longitudinal center line of the stopes and are spaced at 22-ft. centers from footwall to hanging wall. The footwall chute is usually from 5 to 10 it. from the footwall of the stope. It is offset where necessary at an angle of 52° and vertical chutes are carried from the offset at 22-ft. centers. In sections of the ore body where a flat hanging wall would cut off hanging-wall chutes within a few cuts of the sill, it has proved to be more economical to use temporary chutes or slushers, or both, for these first few cuts, rather than to el permanent chutes at the hanging wall.

SOME nonmetallic minerals and their products, such as portland cement, common brick and hollow tile, sand, gravel, crushed rock, vitrified salt-glaze clay pipe, and the like, are a necessity in every community. They are mineral in nature but the establishment of plants for their production is usually a local and elementary problem. Yet it is probable that an economic study of the problem in every locality will show that such nonmetallic mineral commodities are not always obtained in the most economical way, or in the best quality. Other nonmetallic minerals are of such value that they may be shipped for long distances and sold in sufficient quantities to establish prosperous commercial ventures. Among these are phosphates, barium compounds, borates, nitrogen compounds, magnesium compounds, sulfur, asbestos, and potash. Success in marketing such products depends on quality, production cost, transportation, and similar conditions.

In a paper written for the Boston meeting of February, 1888 (Trans., xvi., 693), on "Some Recent Improvements in OpenHearth Steel Practice," the writer described the reducing agent used by the Carbon Iron Company as "a peculiar graphite from Cranston, near Providence, R. I." Upon an application pending at that time, a patent has since been issued as number 259,795, to Mr. Matthew Graff, for the use of solid carbonaceous matter in the form of coke, charcoal, gas carbon, bituminous or anthracite coal, ground to the size of coarse sand and then coated with a mash of lime, magnesia, clay, or other material of a like character, as an agent to reduce metallic oxides. An amount of this prepared carbonaceous matter equal to from 25 to 30 per cent. of the weight of the ore treated is required to perform the complete reduction. The idea is that the carbonaceous matter is protected against rapid combustion by a suitable coating of some inert material, so that, in effect, its action as a reducing agent will be similar to that of the Cranston graphite previously used, allowing the solid carbon to remain without combustion in intimate mixture with the iron oxide at a temperature sufficiently high to reduce the ore and in some cases to melt the matrix in which the iron is held. In the present practice of the Carbon Iron Company, the use of graphite, except for the formation of bottoms of the reverberatory furnaces in which the reduction is performed, has been entirely abandoned, and " retarded coke," as it is called at the works, has taken its place. Five hundred and fifty pounds of Connellsville coke is ground in a pan to 16-mesh fineness, or is taken in the form of ordinary coke-dust, and made into a hollow basin on the mixingfloor ; and seven bucketfuls of a wash composed of equal parts of lime and fire-clay, mixed in water to the consistency of thin cream,

Mining men, quite as exploration minded as petroleum interests, are in the position where most of the exposed crustal portions of the earth have been examined, where the demand for metals is high and likely to continue so, and yet where, perhaps, the tools fail for the economic exploration of many of the possible mineral areas more deeply covered with drift, alluvium, and later formations. At the same time the incentive exists to create acceptable substitutes for many of the duties of metal. The problem of the economic exploration of possible mineral-bearing areas is hence a vital one. In oil exploration, the absence of surface or shallow occurrences and the high cost of test drilling has led to the intensive study of geophysical techniques. Hence the development of the seismic method with its high certainty factor and its adaptability to standardized procedure.

IN 1936 the foreman at one of the oldest limestone quarries in northern Virginia discovered the remains of three old well-drill holes that contained dynamite. As consulting engineer for the property, I was then called upon to devise a method for removing the explosive. As no exact formula for the handling of unexploded dynamite exists, the proper steps for removing it must always be dictated by local conditions. A description of the procedure in this case may, therefore, be of interest to others faced with a similar problem.

CAPTAIN JOHN H. BALLAMY John H. Ballamy, Captain on the Regimental Staff of the 103d Engineers, was killed near Fismes, on August 9, 1918. Captain Ballamy was born at Plymouth, Pa., in 1886 and graduated from the High School of that town in 1903. In the following year he began work as a coal miner, and at the same time began the study of mining engineering in the evening and any other spare time. He continued this diligent and energetic practice for many years. For sixteen years he continued in the employment of the Delaware, Lackawanna & Western Railroad Company's coal mining department, first as a practical miner, next as rodman on the survey corps, of which he soon became chief, then draftsman and mining engineer in the company's office. In January, 1916, he was promoted to the position of district engineer in charge of mining engineering work. He became a member of this Institute in September, 1917. CAPTAIN JOHN H BALLAMY. Captain Ballamy's military experience began at the same time as his engineering practice. He was a charter member of Company A, Engineers, N. G. P., which was organized ten years ago. He saw service on the Mexican border as First Lieutenant of this Company, and remained in that position until November, 1916. In July, 1917, he was again called into service and was sent to Camp Hancock, Ga., with the 103d Regiment of Engineers. Before joining this regiment he attended a school for officers at Fort Sill, Okla., where he received special training in field fortifications. In December, 1917, he was commissioned Topographical Captain on the Regimental Staff, and in April, 1918, preceded his regiment by about six weeks to France, where he again attended an officers' training school. He rejoined his regiment on July 15, near Chateau Thierry and was killed near Fismes on August 9, 1918.

The great coal strike of 1902, which confined the work at the Short Mountain colliery of the Lykens Valley Coal Com pany almost exclusively to pumping, gave an opportunity to determine with considerable accuracy the cost of pumping the water from these very old, extensive and wet mines. This colliery, which is located in the extreme southwestern end of the anthracite coal-field, has been operated continuously since 1836, and has shipped 7,747,313 tons of coal. This and the Williamstown colliery are the only operations in Dauphin county. The workings cover about 5 miles along the North dip of the extreme westerly end of the basin, with the operating slopes near the center. They extend around the westerly spoon of the basin and back about 31/4 miles easterly on the South dip. The mines are very deep, the present workings ex tending to 711 ft. below sea-level, and about 1600 ft. below the lowest surface-opening. The coal is hoisted principally from the Short Mountain slope, which is 1550 ft. long, with 26 to 68 degrees dip, and from an inside slope, No. 4, 800 ft. long, with 52 to 72 degrees dip. The ordinary capacity of the colliery is about 1000 tons per day, and the average output for the years 1897 to 1901, in clusive, was 297,000 tons per year. The seams worked are the lowest Red Ash measures, being, respectively, Nos. I, II and III of the coal-bed series, but locally called the " Little Lykens," " Lykens," and " Whites." On the accompanying plan the Lykens seam is shown in full and the Whites in dotted lines. The pumping-plant is divided into four lifts, the pumps being located as shown in the section, Fig. 1, and the plan, Fig. 2.
